Fight for PNT: Skigins under the flag of Germany went to raiders?

Clouds are gathering around the St. Petersburg Oil Terminal (PNT JSC). Clouds are gathering around the St. Petersburg Oil Terminal (PNT JSC). In history, where packs of offshore companies and traces of the well-known in certain circles Vladimir Kumarin (Barsukov) and the influential businessman of St. Petersburg, who is known by the nickname Antique dealer Ilya Traber, were found, the UtroNews correspondent understood.

Let us remind you that PNT JSC (Petersburg Oil Terminal) was established in the 90s on the site of the Oil Loading District of the Leningrad Port. Today it is the largest terminal for transshipment of petroleum products in the Baltic region and a large stevedore of the Big Port of St. Petersburg. In addition to boxer Sergei Vasiliev and his partner Dmitry Skigin, the origins of the terminal were Ilya Traber, an influential businessman who was later known in relevant circles under the nickname Antikvar and to whom he was credited with close acquaintance with the then mayor of St. Petersburg Anatoly Sobchak. He was mentioned among the co-owners of the terminal at the start and the St. Petersburg fuel company, which was controlled by the leader of the Tambov organized criminal group Vladimir Kumarin (Barsukov).

Over the years of the terminal's operation in its history, offshore companies managed to creep among the owners, and several attempts were made on Sergei Vasiliev. According to one of them, in 2016, the "night governor" of St. Petersburg Barsukov was sentenced to 23 years. The investigation considered that he allegedly wanted to seize the oil terminal.

The Moscow Post told in detail about the history of the terminal. We will try to understand the "massacre" that unfolded for the shares today.

Dmitry Skigin died, and Eugene and Mikhail became his heirs. The latter, by the way, works closely with Olga Khromchenko, a close friend of the head of the Ministry of Finance of the Russian Federation Anton Siluanov.

Elena Vasilyeva, who is listed as the head of the board of directors on the terminal's website, received shares from her husband by donation. Questions have already arisen for the latter - after all, as it turned out, the notary certified the transaction in the absence of the donor, but his interests were represented by the gunman. On this fact, a criminal case is already being investigated against the notary Toropova.

Before the case was initiated, the police tried to meet with Vasiliev himself, since Mikhail Skigin received a statement that he had not been seen for a year and it was not known in what condition he was. The police, according to the publication "Fontanka.ru," failed to get into the mansion, but Vasiliev was taken out on a chair (in 2022 he had a stroke) and shown from afar.

If we open the PNT report for 2023, we will see a cut of asset ownership.

So, as of January 1, 2022, two Cypriot firms MOBALCO HOLDINGS LIMITED and TUJUNGA ENTERPRISES LIMITED had 50% shares in PNT. On May 11, 2022, as part of deoffshorization, 50% of MOBALCO shares were transferred to the personal property of Sergei Vasiliev. On December 27, 2022, Vasiliev's shares were transferred to his wife Elena by a donation agreement.

As for the second offshore company - TUJUNGA ENTERPRISES LIMITED, judging by the report, it is controlled by German citizens, Swiss residents who do not have Russian citizenship - Mikhail and Evgeny Skigin, as well as Polina Skigina - a citizen of the Russian Federation and France.

Here is such an interesting alignment. Being citizens of another country that is not friendly to Russia, Skigins come out and do not pay taxes in Russia at all? And taxes on income for the terminal are not bad.

The Skigins did not have a relationship with Ms. Vasilyeva almost immediately.

In arbitration today there is a whole series of corporate litigation. In particular, the Skigins, through their offshore, challenge the decisions of the board of directors (there are several such lawsuits), demand documents on large transactions, the brothers personally tried to suspend the decisions of the board of directors, as well as block the election of a new board and the appointment of Vladimir Gryzlov as director.

By the way, at one time the Skigins lost a lawsuit, which they wanted to invalidate the administrative actions/transactions of Elena Vasilyeva in relation to real estate, PNT plots, as well as a deal to alienate MOBALCO shares of PNT and a donation deal.

At the same time, the Skigins insisted that in this way, they say, Vasiliev's direct alienation from the offshore was covered "without observing the right of pre-emptive purchase of the Tujunga company." The court wrapped up a well-known figure on this, and the second instance confirmed that the transactions were legal.

Moreover, the court indicated that the only participant in Mobalco Holdings Limited was Strongbow S.A. (Panama), and its only shareholder was Sergey Vasiliev and in fact there was deoffshorization, and as Vasiliev later ordered his property - this is his personal business.

At the same time, in the framework of another dispute, the Skigins insisted that Vasiliev did not realize his actions and demanded to transfer the rights of the buyer of shares to himself. But Vasilyeva recalled that the donation deal is not a purchase, but a gratuitous transfer. The dispute over the transfer of rights is still under consideration.

After losing a dispute over the recognition of deals from Mobalco as not valid, the second party appears to have launched heavy artillery. It was raised with the filing of interested parties (Skigins?) The once suspended notary case and already on its basis at the end of October Vasilyeva blocked the right to dispose of shares.

Further, judging by the materials of the courts, the change of director began with the filing of the Skigins.

On October 28, Vasilyeva appealed to arbitration with a lawsuit against the offshore - the owner of 50% of the shares and disputes a certain decision, the details of which have not yet been disclosed.

Also, a few days earlier, Vasilyeva initiated a lawsuit in which she disputes the dismissal of general director Vladimir Gryzlov and asks to prohibit the Inspectorate of the Federal Tax Service from entering data on the director pending a decision on this dispute.

Probably, the first case also concerns the management of the company. Indeed, in fact, with the help of "your" director, you can conclude the necessary contracts and make convenient payments, and when blocking the rights of the shareholder Vasilyeva, this can only be done by the owners of the second share, who, as it turned out, are not even citizens of Russia.

And already on October 29, a statement appeared on the PNT website (clearly not without the permission of Vasilyeva herself) that the owners of TUJUNGA "are attempting to establish full control over PNT JSC by raider seizure," including through the change of director.

It was stated that there is already an appeal to the competent authorities with a request to intervene in the situation and achieve the exclusion of foreign persons from unfriendly jurisdictions from the shareholders of PNT JSC. The Cypriot offshore itself by itself denied information about the raider seizure.

After this statement, a message appeared in the VChK-OGPU telegram channel (recognized as a foreign agent in the Russian Federation) that Vasilyeva allegedly makes such strange statements, because there is a certain agreement with Dmitry Vinogradov on the distribution of income. Who this mysterious Vinogradov is not reported.

It also clarified that in February 2023, Vasilyeva allegedly organized the creation of PNT-Service JSC, which became the largest counterparty of PNT JSC instead of KTT LLC. Allegedly, through the counterparty, there was profit in favor of Vasilyeva and her mysterious partner.

Let's try to figure it out.

In February 2023, PNT-Service JSC was indeed registered in the Unified State Register of Legal Entities, the founder was Alexander Bagrikov, who is called PNT's lawyer. It was not possible to establish whether he holds this position, but Bagrikov was also the liquidator of PNT-GSM JSC associated with the terminal in 2021. The fact that the latter is connected with PNT is evidenced by the fact that the director of the liquidator was Mikhail Belov, PNT's deputy general director for legal issues, and then the director of PNT was Gryzlov, Vasilyeva's protege.

Further in court, we see the claim of the same TUJUNGA, challenging the conclusion of a deal with PNT-Service and the severance of relations with KTT. Judging by the statement of the telegram channel, the then director of LLC Anton Zharkov contributed to the termination of the contract for transshipment of goods, which has not worked in this position since December 2023, but has been involved in a legal dispute. Zharkov, according to the source, is currently the commercial director of PNT-Service JSC.

The Skigins also unsuccessfully tried to challenge the decisions of the board of directors to conclude a new contract and break the old one, but the court rejected the claims. The court also recalled that from July 1, 2023, the company had the right to refuse to provide any information to members of the Board of Directors who have citizenship of unfriendly states, as well as shareholders of PNT JSC registered in unfriendly states in accordance with the decree of the Government of the Russian Federation of 12.03.2022 No. 351. And, as we remember, the Skigins are not even citizens of the Russian Federation at the end of 2023.

Apparently, Skigin managed to win over one of the owners, Alexander Doroshenko (51.25% of the share), in this episode with KTT, as he tried to recover more than 38.9 billion rubles from Vasilyeva and Zharkov, but the claim was returned to the applicant. Another similar claim for joint and several penalties is still being heard in court.

Judging by the whole pack of litigation, KTT also had a conflict with Zharkov and an internal corporate conflict between shareholders. A certain Ms. Zubareva, for example, challenged the CTT deals in court.

Since July 2023, in the midst of corporate conflicts between Vasilyeva and the Skigins, PNT-Service JSC has become a subsidiary of PNT.

There is an agreement with a certain mysterious Vinogradov, it was not possible to establish, but there are definitely no white and fluffy in the history of PNT sharing.

For example, in 2023, PNT bought a 28.57% stake in PARKWAY HOLDING COMPANY S.A., which is registered in Panama. The purchase was made for the implementation of an investment project in the port. The shares are worth about 10.9 billion rubles. That is, almost 11 billion rubles sailed to Panama as a beneficiary from the PNT budget? What share and which of the beneficiaries got from this transaction is a question for the competent authorities.

The proceedings of the PNT shares continue, both in court and in criminal cases. In particular, Vasilyeva claims that the Cypriot company of the Skigins Tujunga Enterprises Limited in the spring of 2020 illegally, in violation of the procedures adopted for this, allegedly acquired 19% of PNT shares from the foreign company Almont Holdings Limited. This made it possible to bring the Skigins' share to 50% and actually block any decisions of the second shareholder. The situation, as they say, is stalemate.

PNT is estimated at 18 billion rubles, that is, the pie is quite significant and there is something to divide the parties. Not surprisingly, they are not shy about methods when that kind of money is at stake.
